Terms of Service
These terms cover the Managed Website Service provided by William Crawshaw Ltd (company number 17388745), registered in England and Wales and trading as Will's Websites ("we", "us", "I"). There is no charge to design and build your website. You pay a monthly subscription that keeps it live, maintained and supported, and that subscription is what this agreement is about.
The important parts, in plain English
- Nothing is charged when you sign up. Your card is stored and verified, and no money is taken.
- Unless your website was built and agreed with you before you signed up. In that case there is nothing to build and nothing to wait for, so your subscription starts on the day you sign up and your first £30 is taken then. The signup page you used says so before you enter a card, and the rest of these terms apply to you unchanged.
- Your first payment of £30 is taken 10 days after you sign up. Your website is built within 48 hours and you then have the rest of the 10 days to review it. Even if your preview arrives early, as a gesture of goodwill nothing is charged before day 10.
- If your preview takes longer than 48 hours, your first payment moves back, never forward. It is then taken seven days after your preview is handed over, so you always get at least seven days with your website before paying anything.
- It is then £30 a month, taken automatically, until you cancel. There is no VAT to add and no other charge.
- There is no minimum term and no cancellation fee. Cancel before your first payment is due and nothing is ever charged. Cancel later and your subscription runs to the end of the period you have already paid for, then stops.
- The website is licensed to you, not sold to you. You have full use of it while you subscribe. It is not transferred to you and it comes offline when your subscription ends.
- Everything you supply stays yours, including your logo, photographs, words, business information, enquiry data and domain name.
The full terms below say the same things with the detail filled in. If anything here is unclear, ask before you sign up rather than afterwards.
1. Who this agreement is with
These terms are between you and William Crawshaw Ltd (company number 17388745), registered in England and Wales, trading as Will's Websites ("we", "us", "I"). They cover the Managed Website Service: the design and build of your website and its continued operation, hosting, maintenance and support.
The agreement starts when you complete the signup form, accept these terms and provide a valid payment card. There is no separate proposal or contract to sign.
2. What you receive
- A website designed and built for your business, published at a domain of your choosing.
- Managed hosting, an SSL certificate, daily backups, security updates and software maintenance.
- Connection of your domain name to your website, and ongoing management of that connection.
- Content changes on request, within the fair use limits in section 8.
- Direct email support from the person who built your website.
- Enquiries submitted through your website delivered to you.
The website is built to be a marketing website. It does not include an online shop, customer accounts, bookings with payment, or any other application behaviour unless we have agreed that separately in writing and you are paying for it.
3. Price, and when you are charged
- There is no charge for designing and building your website. There is no setup fee and no deposit.
- When you sign up you provide a payment card. It is stored and verified by Stripe, our payment provider. No payment is taken at that point.
- The first payment of £30 is taken 10 days after you sign up, and then every month on the same date, automatically, from the card you provided. The 10 days cover the 48 hour build and your review period.
- A website built and agreed before signup is charged on the day you sign up. Where we have designed your website, shown it to you and agreed it with you before you signed up, there is no build period and no review period to hold the first payment behind. Your subscription starts that day, the first £30 is taken at the card step, and it is then £30 a month on the same date. This applies only where you were told so on the signup page you used. Everything else in these terms applies to you in the same way, including cancelling at any time.
- Delivering your preview early never brings the payment forward. Even when your website is finished ahead of the 48 hour build window, as a gesture of goodwill nothing is charged before day 10.
- Delivering your preview late moves the payment back. If your preview is handed over more than 48 hours after you sign up, the first payment is not taken until seven days after the handover, so you always get at least seven days with your website before paying anything.
- William Crawshaw Ltd is not currently registered for VAT, so no VAT is added. If we become VAT registered we will tell you in writing at least one month before it affects what you pay.
- We will give you at least one month's written notice of any change to the monthly price. If you do not want to pay the new price, cancel before it takes effect.
If a payment fails, we will retry it and contact you. If it has not been resolved after fourteen days we may suspend the website until it is, and we will tell you before we do.
4. Your review period, and your first payment
This section applies where your website is built after you sign up. Where it was built, shown to you and agreed with you beforehand, you have already reviewed it, so there is no review period and your first payment is taken on the day you sign up.
Your website is built within 48 hours of signing up, and the rest of the first 10 days is yours to review it. That gives you at least seven full days with the finished website before any money is taken. If the preview takes longer than 48 hours to reach you, the seven days run from the handover instead and your first payment moves back with them. Time spent building your website never counts against your review.
You may cancel at any point before your first payment is due and no payment will be taken, ever. If you cancel during that period the website is taken offline at the end of it.
5. Your website is licensed to you, not sold to you
This section is the most important one in this agreement, and it is the reason there is no charge to build your website. Please read it.
- We own the website we build and operate for you, including its code, design, structure, layouts, components and configuration.
- We grant you a non-exclusive licence to use that website as your own business website for as long as your subscription is active and paid.
- That licence ends when your subscription ends. The website is not transferred to you at any point, and you do not receive its source code.
- You may not copy, resell, sublicense or redistribute the website, or have it copied or rebuilt elsewhere from what we have provided.
We charge nothing to build the website because we recover that cost through the monthly subscription over time. If the website transferred to you at the outset, that would not be possible, and we would have to charge a build fee instead.
If you would prefer to own a website outright, tell us and we will quote separately for building you one on that basis.
6. What you own
- Everything you supply remains yours: your business name, logo, branding, photographs, written content, testimonials, prices and business information.
- Enquiries and messages submitted through your website are yours.
- Your domain name is registered in your name and remains yours. You purchase and renew it directly with your chosen registrar. We will advise you on what to buy and connect it to your website, but we do not hold or control it at any time.
- Any Google Business Profile, Analytics or Search Console property we set up for you is set up in your own account.
You confirm that you have the right to use everything you give us, and that it does not infringe anyone else's rights. You are responsible for the accuracy of the information you supply, including any claim, price, qualification or accreditation shown on your website.
7. What we need from you
We build from what you give us. Delivery timescales run from the point at which we have what we need. We will tell you promptly if something is missing.
Two working days from having what we need is the target we build to. It is not a guarantee. If we are going to miss it, we will tell you rather than let the date pass quietly.
8. Changes and support, and their limits
Content changes are included in your subscription and there is no set limit on how many you may ask for. In return, we ask that requests are reasonable in size and frequency. In practice that means:
- Included: changing opening hours, prices, contact details or service descriptions; adding or removing a service; swapping photographs; adding testimonials; correcting or rewriting text on existing pages.
- Not included, and quoted separately: a redesign, additional pages beyond the structure originally built, an online shop, a booking or payment system, customer logins, integrations with other software, and any work that amounts to building something new rather than changing something existing.
We aim to make included changes within two working days of receiving everything needed. Support is provided by email during normal working hours. We will always tell you before doing anything chargeable, and nothing chargeable happens without your agreement in writing.
If requests become so large or so frequent that they stop being reasonable, we will discuss it with you and agree either a reduced scope or a separate charge. We will not simply start billing you.
9. Cancelling
- You may cancel at any time. There is no minimum term, no notice period and no cancellation fee.
- Cancel by emailing will@willswebsites.com, or through the billing link in your client portal and with each receipt. We will confirm your cancellation in writing.
- If you cancel before your first payment is due, nothing is ever charged.
- If you cancel after that, your subscription ends when the billing period you have already paid for ends. Cancelling stops the next payment, your website stays live until the end of that period, and we do not refund part of a month already paid for.
10. What happens to your website when you cancel
This follows from section 5 and we want it to be unmistakable.
- Your website remains live until the end of the period you have already paid for, and is then taken offline.
- You do not receive the website's code, design files or build. The licence in section 5 ends.
- Your domain name remains yours, because you hold it with your own registrar and we never have control of it. We will help you point it wherever you ask, at no charge.
- On request we will send you a copy of everything you supplied, together with the written content from your website, within five working days, so nothing you provided is lost.
- We keep a backup of your website for thirty days after cancellation in case you change your mind, and then delete it.
11. If we need to suspend or end the service
We may suspend or end the service, on written notice, if payment remains unresolved after fourteen days, if the website is used for anything unlawful or in breach of section 12, or if the working relationship becomes untenable. Where we end the service for a reason that is not your fault, we will refund the unused part of the month.
12. Acceptable use
Your website must not be used for anything unlawful, fraudulent or misleading, must not infringe anyone else's rights, and must not be used to send unsolicited bulk email. You are responsible for the content you ask us to publish.
13. Service standards
We provide the service with reasonable skill and care. We do not guarantee search engine rankings, a particular volume of enquiries, uninterrupted availability, or that the website will be free of every fault. We monitor the service and work to put faults right promptly once they are known.
14. Liability
Nothing in these terms limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence, or for fraud. Subject to that, our total liability under this agreement is limited to the fees you have paid us in the twelve months before the claim arose, and we are not liable for indirect or consequential loss, loss of profit or loss of business.
15. Data protection
We handle personal information as described in our privacy notice. Card details are handled by Stripe and are never seen or stored by us.
16. Changes to these terms
We may update these terms. If a change materially affects you we will give you at least one month's written notice, and you may cancel before it takes effect if you do not accept it.
17. Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
